Terms and Conditions

1. Scope

These General Terms and Conditions ("T&C") apply to all services provided by The Bloom Way (Owner: Martin Künzli, Einsiedeln, Switzerland). Deviating conditions of the client are only recognised if The Bloom Way explicitly agrees to them in writing.

2. Contract Formation

Offers by The Bloom Way are non-binding. A contract is only concluded upon written order confirmation by The Bloom Way. Verbal side agreements require written form to be valid.

3. Services

The scope of services is governed by the individual offer or order confirmation. The Bloom Way is entitled to delegate partial services to qualified third parties. Changes to the scope of services require written agreement and may result in additional costs.

4. Prices and Payment

All prices are in CHF, net, plus any applicable VAT. Invoices are due within 14 days of the invoice date without deduction. In the event of late payment, default interest of 5% p.a. applies. The Bloom Way reserves the right to require advance payments.

5. Copyright and Usage Rights

All content, concepts, texts and design work created by The Bloom Way remain the property of The Bloom Way until full payment is received. Upon full payment, the client receives a simple, non-transferable right of use for the agreed purpose. All further rights, in particular the right to resell or sublicense, remain with The Bloom Way.

6. Limitation of Liability

The liability of The Bloom Way is limited to the value of the respective order. Indirect damages, consequential damages, loss of profit and damages arising from the use of third-party social media platforms are excluded to the extent permitted by law (Art. 100 CO). The Bloom Way provides no guarantee for specific reach, follower counts or conversion rates, as these depend on factors outside The Bloom Way's control.

7. Client Obligations

The client shall provide The Bloom Way with all necessary information, materials and access in a timely manner. Delays resulting from incomplete or late cooperation are at the client's expense. Additional work caused by incorrect or subsequently changed client information will be invoiced at the agreed hourly rates.

8. Termination

Ongoing mandates may be terminated by either party with 30 days' written notice, effective at month-end. Upon termination by the client, all services rendered up to the termination date shall be paid in full. The Bloom Way is entitled to terminate the mandate immediately if the client is in arrears with payments or is in breach of material contractual obligations.

9. Confidentiality

Both parties undertake not to disclose confidential information of the other party to third parties. The Bloom Way is entitled to name the client and the services rendered in portfolios and reference lists, unless the client expressly objects.

10. Governing Law and Jurisdiction

Swiss law applies exclusively, to the exclusion of conflict of law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising from or in connection with these T&C is Einsiedeln, Canton of Schwyz, Switzerland.
